Advisory Area

What will a buyer or new owner find, and is management ready for them?

Preparation for scale, new capital or an exit, so that the business holds up under scrutiny and management is ready to operate from Day 1.

Transactions and Transformation

At a glance

  1. Now

The transaction is moving, but the business is not yet organised for it.

  2. Our work

Set governance, reporting and responsibilities for Day 1.

  3. After

Day 1 starts with control, not improvisation.

What changes

The conversation with a buyer or investor moves from explaining the business to evidencing it.

What a counterparty will test is clear in advance, so the business can show it rather than reconstruct it under pressure. Dependence on the founders becomes visible early enough to address. On Day 1, governance, reporting and responsibilities are already in place, and the first weeks under new ownership are spent operating rather than organising.

What the mandate brings

The business is brought into a state that can be shown and explained to a counterparty, so that the questions a buyer or investor raises already have answers before they are asked. The purpose is not to fill a data room. It is to make sure that the business being sold, financed or separated is ready to operate as one.

Where corporate finance advisers, lawyers or accountants are already engaged on the transaction, their role remains unchanged. MUNDUS CRAS works on the management side of the business, so that what they advise on can be delivered.

What leadership gains

  • Readiness before scrutiny

What a buyer or investor will look at is clear in advance, so the business is evidenced rather than explained.

  • Less dependence on the founders

Responsibilities and decisions that sit with the founders become visible early enough to transfer or plan around.

  • A Day 1 under control

Governance, reporting and responsibilities are in place before ownership changes, rather than arranged after it.

  • Transitional arrangements that hold

Where a business separates, the services, people and systems it still relies on are agreed and managed until it stands alone.

What is the priority that needs to move?
